1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of Nadya (the "service"), available at nadya.app and operated by Linvium LLC ("we", "us", "our"). By creating an account or using the service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
2. The Service
Nadya has three parts. Which of them you can use depends on your plan.
- Feed. We subscribe to a curated set of third-party AI and technology newsletters and publish AI-generated summaries of their articles, with links to the originals, organised by category and source. We do not reproduce original newsletter content verbatim.
- Studio. Tools for writing LinkedIn posts: AI drafting from an article, a link, an idea or a blank page; an editor; AI image generation; a media library; scheduling; publishing to your personal LinkedIn profile through a connection you authorise; automation rules; and suggested replies to comments.
- Studio Plus. A company account that lets several people use Studio under one subscription. Studio Plus is not yet generally available; see section 9.
Nadya is not affiliated with the publishers of the newsletters it summarises. LinkedIn is a trademark of LinkedIn Corporation; Nadya is not affiliated with, endorsed by, or sponsored by LinkedIn.
3. Eligibility
To use this service you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from receiving services under applicable law
- Provide accurate and complete registration information
By registering, you confirm that you meet all of the above requirements.
4. User Accounts
4.1 Registration
You must create an account to access the service, either with an email address and password or by signing in with Google. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4.2 Account Security
You agree to notify us immediately at support@nadya.app if you suspect unauthorised access to your account.
4.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to obtain additional free trials or to circumvent subscription fees or access restrictions is prohibited and may result in termination.
5. Free Trial
New accounts receive a free trial of 7 days, starting when the account is created. No payment method is required to start it. During the trial you can use the Feed and Studio, with a limited one-time allowance of AI credits.
The trial does not convert into a paid subscription automatically. When it ends, access to the service is paused until you choose a plan and complete checkout. You are never charged unless you subscribe. Content you created during the trial stays in your account.
One free trial is available per person.
6. Plans, Billing and AI Credits
6.1 Plans
After the trial, access requires a paid subscription. The plans, their prices and what each includes are listed on our pricing page and inside the app. The Feed plan covers the Feed only; the Studio plan covers the Feed and Studio. Prices are shown in euros. Where a price is shown as a monthly equivalent of a yearly plan, the yearly total is the amount charged.
6.2 Billing
Subscriptions are billed in advance on a recurring basis, monthly or yearly depending on the plan you select, and renew automatically until cancelled. Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method at the start of each billing period.
6.3 AI Credits
AI actions in Studio (for example generating a post, an image or a reply suggestion) cost credits. The cost of an action is shown before you run it. Plans that include Studio come with a monthly credit allowance; the current allowance is shown in the app. Unused plan credits do not roll over to the next month. If an AI action fails on our side, the credits charged for it are returned automatically.
Plans may also carry usage limits, such as the number of automation rules or scheduled posts, which are shown in the app.
6.4 Top-Up Credits
You can buy additional credits as a one-off purchase. Top-up credits do not expire while your account is open and are used after your monthly plan credits. Credits have no cash value, cannot be transferred or exchanged for money, and can only be used while you have access to Studio.
6.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain access to the service until that date.
6.6 Refunds
We offer a 14-day refund on new subscriptions if you are not satisfied. Refunds are not available for partial billing periods after the 14-day window. Credits that have already been used cannot be refunded. To request a refund, contact us at support@nadya.app.
If you are a consumer, this refund policy applies in addition to, and does not limit, any right of withdrawal or other rights you have under the mandatory consumer law of your country of residence.
6.7 Price Changes
We reserve the right to change subscription pricing. We will provide at least 30 days' notice before any price change takes effect. A price change applies from your next billing period after the notice; you can cancel before then if you do not accept it.
7. Studio and LinkedIn
7.1 Connecting LinkedIn
To publish from Studio you can connect your personal LinkedIn profile through LinkedIn's own authorisation screen. We only receive the permissions shown on that screen. You can disconnect at any time in Studio; when you do, we delete the access tokens we hold. Connecting LinkedIn is optional: without a connection you can copy a finished post and publish it yourself.
7.2 You Are the Publisher
Everything published through Studio is published in your name and on your instruction. You are solely responsible for the content of your posts and replies, including their accuracy, their legality and your right to use any text, image, link or name they contain, whether you wrote them or AI generated them. Review content before it is published.
7.3 Automation
Automation rules can create posts on a schedule. You choose whether each post waits for your approval or is published automatically. Fully automatic publishing requires your explicit consent and is subject to safeguards we set, such as a daily limit on automatic posts, a minimum gap between them, and automatic pausing after repeated failures, when credits run out or when LinkedIn is disconnected. Posts published by your rules are your responsibility in the same way as posts you publish by hand.
7.4 Comments and Replies
Studio can suggest replies to comments on your posts. Depending on the access LinkedIn grants us, comments are either retrieved through LinkedIn's API or pasted in by you. Only paste comments you are entitled to share with us. A reply is only sent when you choose to send it.
7.5 LinkedIn's Rules and Availability
Your use of LinkedIn remains subject to LinkedIn's own User Agreement and policies, and you agree to follow them when using Studio. LinkedIn controls its platform and API and may change, limit or withdraw access at any time. We are not responsible for actions LinkedIn takes regarding your account or content, or for features that become unavailable because of changes on LinkedIn's side.
8. AI-Generated Content
Summaries, drafts, images, research and reply suggestions are generated by AI systems, including models provided by third parties. AI output can be inaccurate, incomplete, outdated or similar to content generated for others, and research mode may cite sources that do not support the claim made. You must check AI output before relying on it or publishing it. We do not guarantee that AI output is accurate, original, free of third-party rights or eligible for copyright protection.
9. Studio Plus
Studio Plus is offered by arrangement with us and is not yet generally available. When a company account is set up, additional terms agreed with the company apply alongside these Terms. In summary:
- The company pays for one subscription and a shared pool of AI credits; administrators can set a monthly limit per member.
- Each member joins by invitation and must accept a consent screen that lists what the company will be able to see. A member can leave at any time.
- Each member keeps their own LinkedIn connection, voice, drafts and schedule. The company cannot publish on a member's behalf and cannot see drafts, scheduled posts or brand profiles.
- The company can see posts a member published through Nadya while a member, and statistics about those posts, including on a leaderboard visible to other members.
A company that uses Studio Plus is responsible for having a lawful basis to involve its staff and for any notices or consultations its local employment law requires.
10. Acceptable Use
You agree not to use the service to:
- Reproduce, redistribute, or resell Feed content without our written permission
- Scrape, crawl, or extract data from the service using automated tools
- Share your account credentials with others
- Use the service for any unlawful purpose
- Attempt to reverse-engineer, hack, or disrupt the service
- Upload or transmit malicious code or content
- Impersonate another person or entity, or publish in someone else's name
- Generate or publish content that is unlawful, defamatory, deceptive, hateful or harassing, or that infringes someone else's rights
- Send spam or artificially inflate engagement
- Submit links, text or images that you do not have the right to use as a source
Violation of these rules may result in immediate suspension or termination of your account without refund.
11. Intellectual Property
11.1 Our Content
The service itself, its software and design, and the summaries and analysis published in the Feed are owned by Linvium LLC and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute them without our express written consent.
11.2 Third-Party Content
We do not claim ownership of any third-party newsletter content that we summarise. All original content belongs to its respective publishers. Our summaries are independent editorial works and do not substitute for the original publications.
11.3 Your Content
You keep all rights in what you bring to or create in Studio: your brand brief, writing and image styles, instructions, drafts, posts, replies and uploaded images ("your content"). We do not claim ownership of it. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display your content solely to provide the service to you, including sending it to the AI providers and to LinkedIn as you direct. This licence ends when your content is deleted from the service.
11.4 AI Output You Generate
As between you and us, drafts, images and replies generated for you in Studio are yours, and we assign to you any rights we may hold in them. We do not use your content to train AI models.
11.5 Your Feedback
If you submit feedback, suggestions, or ideas to us, you grant us a non-exclusive, royalty-free, perpetual licence to use that feedback without any obligation to you.
12. Copyright and Fair Use Policy
The Feed is built on the principle that summarising third-party content in our own words, adding editorial perspective, and providing independent takeaways constitutes a transformative use under applicable copyright law. We do not copy-paste, reproduce titles verbatim, or replicate the structure of original works, and we link to the original publication.
If you are a newsletter publisher and believe we have misrepresented your content or infringed your rights, or you want your publication removed, please contact us at support@nadya.app. We will respond within 7 business days and take corrective action where appropriate.
13. Disclaimers
13.1 No Warranty
The service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the service will be uninterrupted or error-free, that scheduled posts will be published at an exact time, that summaries or AI output will be complete, accurate, or up to date, or that using the service will produce any particular reach, engagement or business result.
13.2 Not Professional Advice
Nothing in the service constitutes financial, legal, medical, or investment advice. All content is for informational purposes only. You should seek professional advice before acting on any information provided through the service.
13.3 Third-Party Links and Services
The service contains links to third-party websites and works with third-party services such as LinkedIn. We are not responsible for their content, accuracy, availability or practices.
14. Limitation of Liability
To the maximum extent permitted by law, Linvium LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including loss of reputation or business arising from content published through the service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law that applies to you, or any rights you have as a consumer that cannot be waived.
15. Indemnification
You agree to indemnify and hold harmless Linvium LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, content you publish through it, your violation of these Terms, or your infringement of any third-party rights. This section does not apply to consumers to the extent the law of their country of residence does not allow it.
16. Termination
We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms. You may close your account at any time by contacting us at support@nadya.app. Upon termination, your right to access the service ends, scheduled posts and automation rules stop, and we delete the LinkedIn access tokens we hold. Posts already published on LinkedIn stay on LinkedIn until you remove them there.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the U.S. state in which Linvium LLC is organised, without regard to its conflict-of-law rules. Any disputes arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.
If you are a consumer, nothing in this section deprives you of the protection of the mandatory laws of your country of residence, or of your right to bring proceedings before the courts of that country. The arbitration clause above does not apply to you where such clauses are not binding on consumers under that law.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the service after that date constitutes your acceptance of the updated Terms.
