1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of Nadya.News, a newsletter aggregation and summarization service operated by Linvium LLC ("we", "us", "our"). By creating an account or using the service in any way, you agree to be bound by these Terms. If you do not agree, you must stop using the service immediately.

2. Description of Service

Nadya.News is a paid subscription service that provides AI-generated summaries and analysis of third-party newsletter content. We do not reproduce original newsletter content verbatim. All summaries are independently written by our AI system and represent our editorial perspective and interpretation. Nadya.News does not claim ownership of the underlying third-party content and is not affiliated with the original newsletter publishers.

3. Eligibility

To use this service you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from receiving services under applicable law
  • Provide accurate and complete registration information

By registering, you confirm that you meet all of the above requirements.

4. User Accounts

4.1 Registration

You must create an account to access the service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4.2 Account Security

You agree to notify us immediately at admin@linvium.com if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

4.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent subscription fees or access restrictions is prohibited and may result in permanent account termination.

5. Subscription and Payment

5.1 Paid Subscription

Access to Nadya.News requires a paid subscription. Subscription fees, billing cycles, and plan details are listed on our pricing page and may be updated from time to time with advance notice.

5.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). By subscribing, you authorize us to charge your payment method automatically at the start of each billing period.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the service until that date.

5.4 Refunds

We offer a 14-day refund on new subscriptions if you are not satisfied. Refunds are not available for partial billing periods after the 14-day window. To request a refund, contact us at admin@linvium.com.

5.5 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice before any price change takes effect. Continued use of the service after the effective date constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the service to:

  • Reproduce, redistribute, or resell any content from the service without our written permission
  • Scrape, crawl, or extract data from the service using automated tools
  • Share your account credentials with others
  • Use the service for any unlawful purpose
  • Attempt to reverse-engineer, hack, or disrupt the service
  • Upload or transmit malicious code or content
  • Impersonate another person or entity

Violation of these rules may result in immediate account termination without refund.

7. Intellectual Property

7.1 Our Content

All AI-generated summaries, analysis, design elements, and original content published on Nadya.News are owned by Linvium LLC and protected by applicable copyright and intellectual property laws. You may not copy, reproduce, or distribute this content without our express written consent.

7.2 Third-Party Content

We do not claim ownership of any third-party newsletter content that we summarize. All original content belongs to its respective publishers. Our summaries are independent editorial works and do not substitute for the original publications.

7.3 Your Feedback

If you submit feedback, suggestions, or ideas to us, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback without any obligation to you.

8. Copyright and Fair Use Policy

Nadya.News is built on the principle that summarizing third-party content in our own words, adding editorial perspective, and providing independent takeaways constitutes a transformative use under applicable copyright law. We do not copy-paste, reproduce titles verbatim, or replicate the structure of original works.

If you are a newsletter publisher and believe we have misrepresented your content or infringed your rights, please contact us at admin@linvium.com. We will respond within 7 business days and take corrective action where appropriate.

9. Disclaimers

9.1 No Warranty

Nadya.News is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or that summaries will be complete, accurate, or up to date.

9.2 Not Professional Advice

Nothing in the service constitutes financial, legal, medical, or investment advice. All content is for informational purposes only. You should seek professional advice before acting on any information provided through the service.

9.3 Third-Party Links

The service may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of those sites. Accessing third-party links is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, Linvium LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Linvium LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to access the service ends immediately.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

If you are a consumer based in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the service after that date constitutes your acceptance of the updated Terms.
